Salassapitosopimus (NDA), molemmin puolin velvoittava (englanniksi)

Suojaa liikesalaisuutesi salassapitosopimuksella

Salassapitosopimuksen tehtävä on suojata yrityksesi arvokkaita liikesalaisuuksia.

Liikesalaisuuksien suojaaminen on helpointa Sopimuskoneella

Sopimuskoneen salassapitosopimuksen malli sopii sellaisenaan valtaosaan liike-elämän tietojenvaihtotilanteista.

Sopimuskoneessa on erillinen mallinsa tilanteisiin, joissa ainoastaan yksi osapuoli luovuttaa tietoja.

Tämä sopimusmalli on englanniksi. Sopimuskoneessa on erikseen tarjolla myös suomenkielinen versio samasta asiakirjamallista.

Non-Disclosure Agreement (NDA), Mutually Binding

A non-disclosure agreement protects your business secrets

The purpose of a non-disclosure agreement or NDA is to protect your company’s valuable business secrets. Business secrets are also called professional or trade secrets. Business secrets typically include product development information, business ideas, partner information, financial figures and strategy.

All business secrets are linked by the fact that they can be very damaging to your business if disclosed to a competitor or customer.

When should I draw up a non-disclosure agreement?

A professional will always draw up an NDA when disclosing sensitive information on their business to, for example, employees, consultants or subcontractors. Such agreements are also always signed at the outset of buyout negotiations and cooperation projects.

What is the easiest way to draw up a non-disclosure agreement?

With Sopimustieto, you can draw up a high-quality NDA for all of your company’s needs, whether for an employment relationship, corporate acquisition, cooperation with another company or any other purpose. Sopimustieto’s default NDA will be ready for signing in 2–3 minutes.

In the best-case scenario, you can create a signature-ready contract with just a few mouse clicks – our meticulously drafted standard terms are easy to adapt to your situation. Thus the question is not of a traditional single template or form template but of modern technology that includes terms and standard content for thousands of different templates.

In many cases, the protection afforded by the law will not suffice

The law protects certain business secrets even without a non-disclosure agreement, but this protection is limited and, in many cases, ambiguous. It is thus vital to sign a dedicated, written non-disclosure agreement.

The contractual penalty is an important part of a non-disclosure agreement

In practice, an non-disclosure obligation should always be reinforced with a contractual penalty. Damages arising from a breach of contract have to be compensated to the other party even without a penalty clause, but damages incurred from a violation of a non-disclosure obligation are often difficult to prove. The monetary value of disclosed business secrets is also difficult to define – especially over the short term. The contractual penalty is a useful tool for such problems: as a rule, it is payable even if the damages cannot be proven.

Standard content for hundreds of different situations

We offer standard terms based on established contractual practice for themes such as:

  • Definition of confidential information
  • Examples of information that must be considered confidential
  • The recipient’s obligations for protecting the information
  • Duration of confidentiality
  • The significance of official regulations (can information be disclosed to the authorities)
  • Contractual penalty
  • Intellectual property rights (e.g. copyrights, patents, trademarks)
  • Dispute resolution (e.g. the arbitration procedure for any contractual disputes)
  • Applicable law (e.g. if either party is foreign)

You can add your own content and customise our standard content freely to your requirements.

Will this agreement protect the business secrets of both parties?

Yes, this agreement template protects confidential information disclosed by any party to the agreement to another party. You can add any number of parties, such as three or four instead of the usual two, to the agreement if your needs concern, for example, investment negotiations between multiple parties.

Sopimustieto has a separate NDA template for situations in which the business secrets of only one contracting party will be protected:

Non-Disclosure Agreement (NDA), Unilateral

How can the other party accept the non-disclosure agreement I have drafted using Sopimustieto?

You can invite the other party to view your NDA in Sopimustieto with an SMS or email. The party can accept the agreement with its electronic signature, which belongs to our service.

How is my contract archived?

In Sopimustieto, all of your agreements are automatically archived in your company’s agreement account, where you can easily find them afterwards and they will not disappear. The other party also receives their agreement copy conveniently in digital form.
