Kokous ei ole välttämätön päätöksien tekemiseksi

Osakeyhtiön hallitus voi tehdä päätöksiä myös varsinaista kokousta pitämättä. Jokaiselle hallituksen jäsenelle on mahdollisuuksien mukaan varattava tilaisuus osallistua päätöksentekoon – muutoin päätöksiä ei saa tehdä.

Päätökset on kirjattava ja allekirjoitettava

Hallituksen kokouksista tulee osakeyhtiölain mukaan pitää pöytäkirjaa. Tätä periaatetta sovelletaan myös ilman kokousta tehtäviin päätöksiin: päätös on kirjattava, numeroitava, allekirjoitettava ja säilytettävä kuten kokouspöytäkirjat. Velvoite on lakisääteinen, mutta laadukas dokumentaatio antaa myös ammattimaisen kuvan yrityksen johtamisesta esimerkiksi sijoitusneuvotteluissa.

Decisions by the board of directors do not require a meeting

In a limited liability company, the board of directors can take decisions even without holding an actual meeting. Each board member must be reserved the opportunity to participate in the decision-making whenever possible – decisions cannot be taken otherwise.

A decision without a meeting must nevertheless be documented

A board decision made without a meeting must be recorded, numbered, signed and stored similarly to minutes from a board meeting. The obligation is statutory; however, high-quality documentation also gives a professional impression of the company’s management during investment negotiations, for example.

What if we skipped printing?

Documents are signed by phone or computer, and they are automatically archived on your agreement account. In other words, folders, pens and printers are not required.
