Sopimuksessa on syytä kiinnittää huomiota erityisesti luottamuksellisen tiedon määrittelyyn, salassapidon kestoon ja tiedon sallittuihin käyttötapoihin. Lisäksi kannattaa sopia sopimussakosta, joka tulee sanktiona maksettavaksi, jos tietojen vastaanottaja rikkoo luottamuksellisuuden.

The contractual penalty is useful in such problems: as a rule, it is payable even if the damage could not be accurately substantiated.
